If you are helping another person use this Website, these Terms constitute a legally binding agreement between both the helper and the person being helped and Sanvello. Clinical Services

The healthcare professionals who deliver Services through Sanvello are independent professionals practicing within a group of independently owned professional practice. “Sanvello” is the brand name used for products and services provided by one or more professional services entities, including Sanvello Behavioral Health Services, P.A., that is managed by or affiliated with Sanvello Health Inc., a management company. Sanvello, Inc. does not practice clinical social work or any other licensed profession, and does not interfere with the practice of healthcare professionals, each of whom is responsible for his or her services and compliance with the requirements applicable to his or her profession and license. Neither Sanvello Health, Inc., nor any third parties who promote the Services or provide you with a link to the Services shall be liable for any professional advice you obtain from a licensed healthcare professional through the Services. Reliance on any information provided by Sanvello, Sanvello employees, other parties who are accessible to you in the course of providing the Services, other users of the Services, or affiliates of Sanvello, is solely at your own risk.

Notice Concerning Services of Sanvello Coaches

Sanvello coaches are not licensed health care professionals and are not authorized to provide services requiring professional licensure, including psychotherapy. Your interactions with your Sanvello coach are not intended to be a substitute for professional health care advice, diagnosis, or treatment. Always seek the advice of your physician or therapist with any questions you may have regarding your physical or mental health. Never disregard professional health care advice or delay in seeking it based on any interaction with your Sanvello coach.

Registration and Login

To access certain features or areas of the Services, you may be required to provide personal and/or demographic information as part of a site registration or log-in process. In addition, certain features of our Services are only available to our customers, and to access those areas of the Services you will be required to log in using your username or email and password. You agree to provide true, accurate, current and complete information about yourself as prompted by the applicable registration or log-in form, and you are responsible for keeping such information up-to-date (this includes your contact information, so that we can reliably contact
you). The information you submit must describe you (you may not impersonate another person or entity), and you may not sell, share or otherwise transfer your account information. You are responsible for all activity occurring when the Services are accessed through your account, whether authorized by you or not. Text Messages and Electronic Communications

As part of providing you with the services, we may need to provide you with certain communications such as appointment reminders, service announcements, privacy notices, administrative messages and other communications about the services (“Communications”). Please review our Privacy Policy and required disclosures for further information on our promotional communications and privacy practices with respect to personal information that you submit through the Services.

You agree that Sanvello may send to you Communications through electronic means including but not limited to: (1) email, using the address that you provided to us during registration, (2) short messaging service (“SMS”) text message to the mobile number you provided us during registration (“SMS Messages”), (3) push notifications on your tablet or mobile device, or (4) by posting Communications on the Sanvello Website. The delivery of any Communications from us is effective when sent by us, regardless of whether you read the Communication. You can withdraw your consent to receive Communications by deactivating your account or contact Sanvello at info@sanvello.com. You acknowledge and consent to receive unsecure emails containing information about the Sanvello program which may also include your confidential personal information and/or protected health information. Sanvello cannot ensure the security or confidentiality of messages sent by email. This means there is a risk of interception of the information by third parties.

The number of SMS Messages we send as part of our Communications will depend on the frequency of your use of the Services. You can cancel the SMS service at any time. Just text “STOP” to the short code 87177. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at infor@sanvello.com.

Changes to the Services

We reserve the right to make changes to, or to suspend or discontinue (temporarily or permanently), any portion of the Services. You agree that we will not be liable to you or to any third party for any such modification, suspension or discontinuance.

Suspension or Termination of Access

We have the right to deny access to, and to suspend or terminate your access to, the Services, or to any features or portions of the Services, and to remove and discard any content or materials you have submitted to the Services, where applicable, at any time and for any reason, including for any violation by you of these Terms of Use. In the event that we suspend or terminate your access to and/or use of the Services, you will continue to be bound by the Terms of Use that were in effect as of the date of your suspension or termination.

Payments and Billing

Your use of the Services may be subject to payments now or in the future, depending on the type of account you register with Sanvello. You agree to pay all applicable fees associated with your use of the Service.

If your Sanvello account is sponsored by your employer or another entity (such as an insurance provider or benefits company) (a “Sponsor”), your use of the Services may be free or subject to a discount, but we reserve the right to charge our standard pricing for certain or all Services in the future. If your relationship with your Sponsor terminates or if our arrangement with your Sponsor terminates or expires, you must pay all applicable fees in accordance Sanvello’s then current standard pricing in order to continue using the Services.

Governing Law and Statute of Limitations

The laws of the State of New York govern these Terms and any cause of action arising under or relating to your use of the Website, without reference to its choice-of-law principles. You agree that the only proper jurisdiction and venue for any dispute with the Company, or in any way relating to your use of this Website, is in the state and federal courts in the State of New York, U.S.A. You further agree and consent to the exercise of personal jurisdiction in these courts in connection with any dispute involving the Company or its employees, officers, directors, agents and providers. If any provision of these Terms is determined to be invalid under any applicable statute or rule of law, such provision is to that extent to be deemed omitted, and the balance of the Agreement shall remain enforceable.

Before seeking legal recourse for any harm you believe you have suffered arising from or related to your use of this Website, you agree to inform us in writing and to give us 30 days to cure the harm before initiating any action. You must initiate any cause of action within one year after the claim has arisen, or you will be barred from pursuing any cause of action.
